Introduction
These Terms of Service explain how you may use the Guestwise website and our software and services. By accessing or using our website or platform you agree to these terms. If you do not agree, you must not use our website or services.

These terms apply to your use of our website and any hosted software or services that we provide to you or your organisation under these terms or a separate written agreement.
2. Using our services
You may use our services only for lawful business purposes. You must comply with all applicable laws and any additional terms agreed in a separate contract with us.
You must not:
* copy, modify or create derivative works from our services
* attempt to gain unauthorised access to our systems
* attempt to reverse engineer or otherwise obtain the source code of any part of our services, except where this is allowed by law
We may suspend or restrict your access if we reasonably believe that you have breached these terms or your use risks the security, integrity or availability of our services.
3. Accounts and security
Where you create an account, you must keep your login details secure and confidential. You are responsible for all activities that occur under your account, unless they result from our failure to keep your systems secure.
You must tell us promptly if you suspect that your account or any credentials have been compromised.
4. Fees and payment
Where you or your organisation have agreed a paid plan with us, the fees, billing arrangements and any minimum term will be set out in the relevant order form or subscription agreement.
If you fail to pay any undisputed amounts when due, we may suspend your access to the paid parts of the services until payment is made.
5. Acceptable use
You must not use our services:
* to send spam or other unauthorised marketing
* to store or transmit material that is unlawful, harmful, defamatory, obscene or otherwise objectionable
* to infringe the intellectual property or privacy rights of any person
* to introduce viruses, malware or other harmful code
We may remove any content that we reasonably consider to breach this section.
6. Intellectual property
All intellectual property rights in our website, platform, software and content (excluding any content provided by you) are owned by us or our licensors.
You receive a non-exclusive, non-transferable right to access and use the services for your internal business purposes for the term of your subscription, subject to these terms and any separate written agreement.
Nothing in these terms transfers ownership of any intellectual property rights to you.
7. Data protection and privacy
Our Privacy Policy explains how we collect and use personal data in connection with our website and services. By using our services you acknowledge that we will handle personal data in line with our Privacy Policy.
Where you act as a business customer and you provide us with personal data relating to your guests, customers or staff, we will usually process that personal data as a data processor on your behalf under a separate data processing agreement.
8. Availability and changes
We aim to provide a reliable and resilient service but we do not promise that the services will be available at all times. We may carry out planned maintenance and may also need to carry out emergency maintenance where necessary.
We may improve or change features from time to time. Where a change is material and negative we will give reasonable notice to affected customers where practicable.
9. Third party services
Our services may allow you to connect to or use third party products or services, for example advertising platforms, messaging services or analytics tools. We are not responsible for any third party services or for any act or omission of their providers.
Your use of third party services is subject to the terms and privacy notices of those providers.
10. Disclaimers
The services are provided “as is” and “as available”. To the extent permitted by law, we do not give any warranties, representations or undertakings about the services, including as to fitness for a particular purpose, performance or non-infringement.
Nothing in these terms limits any rights you may have that cannot legally be excluded.
11. Limitation of liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law.
Subject to the paragraph above:
* we are not liable for any loss of profit, loss of revenue, loss of data, loss of goodwill or any indirect or consequential loss
* our total aggregate liability arising out of or in connection with these terms and your use of the services will be limited to the total fees paid by you or your organisation for the services in the twelve months before the event giving rise to the claim
12. Term and termination
These terms apply for as long as you use our website or services.
We may suspend or terminate your access to the services if you materially breach these terms and fail to remedy that breach within a reasonable time after we have asked you to do so, or immediately where the breach cannot be remedied.
You may stop using the services at any time. Any fees already paid are non-refundable unless agreed otherwise in writing.
13. Changes to these terms
We may update these terms from time to time. The latest version will always be posted on our website. Where we make material changes we will take reasonable steps to notify active customers.
If you continue to use the services after changes take effect, you will be taken to have accepted the updated terms.
14. Governing law and jurisdiction
These terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over any such dispute or claim.
